Terms and Conditions for Digital Goods

Please read these terms and conditions ("Terms") carefully before downloading or using any digital goods (the "Goods") provided by Studio 70 ("We," "Us," or "Our").

By downloading or using the Goods, you ("You" or "User") agree to be bound by these Terms. If you do not agree to these Terms, do not use the Goods.

License

We grant You a limited, non-exclusive, non-transferable, revocable license to use the Goods solely for personal or business use. This license is valid for ONE use.

You may not sublicense, transfer, sell, or distribute the Goods, or any portion thereof, to any third party.

Ownership

All rights, title, and interest in and to the Goods, including all intellectual property rights, are and will remain the exclusive property of Studio 70.

You acknowledge that the Goods are protected by copyright and other laws. You agree not to remove, alter, or obscure any copyright, trademark, or other proprietary rights notices appearing on the Goods.

Studio 70 Credits may not be removed from any digital goods.

No Refunds

Due to the digital nature of the products, we do not offer refunds for any purchases of the Goods. All sales are final. Please ensure that you carefully review the details of the Goods before making a purchase. Restrictions

You may not use the Goods in any manner that infringes the rights of any third party, including without limitation intellectual property rights, privacy rights, or publicity rights.

No Warranty

THE GOODS ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE GOODS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to indemnify, defend, and hold harmless Studio 70 and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to your use or misuse of the Goods.

Termination

We may terminate this license at any time if You breach any provision of these Terms. Upon termination, You must cease all use of the Goods and destroy all copies of the Goods in your possession or control.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Delaware, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time without notice. You may refer to the terms link provided at checkout for updates. What constitutes a material change will be determined at our sole discretion.

Entire Agreement

These Terms constitute the entire agreement between You and Studio 70 regarding your use of the Goods and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
